Transaction Background

Brainlabs provides a single solution digital marketing model for the modern-era bringing together technology, biddable agency services and consultancy. The business was founded in 2012 in London and has grown organically from one to 240 people in just seven years, with a presence in both the UK and US, through its office in Austin, Texas.

CEO, Daniel Gilbert, left Google to set up Brainlabs having seen an opportunity to disrupt the marketing industry with an innovative, scientific approach. The business is looking to take advantage of a hugely expanding market with the UK & US performance marketing sector set to grow to £3.3bn by 2021.

Brainlabs works with a roster of leading brands including Formula1, TUI and Expedia and has placed 1st in Deloitte’s Tech Track Fast 50, 5th in the Financial Times fastest growing companies in Europe, and has been awarded Masters of Marketing Agency of the Year two years in a row.

The investment from Livingbridge will support Brainlabs’ organic and M&A-led growth strategy, focused on growing their expertise in SEO, content production and data to complement its existing performance marketing capabilities.

Our Role

JEGI | CLARITY represented and advised the shareholders of Brainlabs on all aspects of the transaction.

We were responsible for managing a highly competitive process which included identifying and engaging with multiple prospective international partners, both trade and private equity. We led negotiations on pricing and deal structure as well as being responsible for the overall planning and orchestration of the transaction process.

Ultimately, we played a critical role in achieving an outstanding result which delivered both a very strong valuation as well as providing a partner that shared the same principles and growth ambitions as Brainlabs.
