Transaction Background

Adam Matthew, the award winning creator of online resources for university research, has been acquired by SAGE, a leading international independent academic and professional publisher.

Since 1965, SAGE has helped inform and educate a global community of scholars, practitioners, researchers, and students spanning a wide range of subject areas including business, humanities, social sciences, and science, technology, and medicine. An independent company, SAGE has principal offices in Los Angeles, London, New Delhi, Singapore and Washington DC.

Adam Matthew will continue to operate under its existing management from its offices in Marlborough, Wiltshire, and Chicago, Ill. SAGE sales representatives will work closely with the Adam Matthew team to bring the portfolio to an even wider international audience, building on the experience gained working as the Adam Matthew agent in the Middle East since January 2012.

Our Role

Clarity and JEGI co-advised the shareholders of Adam Matthew on the approach received from SAGE and all aspects of the subsequent transaction.

We led the negotiations on pricing and structure and advised on deal strategy to ensure an optimal outcome and successful conclusion.

We were responsible for the overall project management of the transaction including liaising with multiple advisors, managing due diligence and maintaining momentum through to completion.

“Clarity gave us invaluable advice and support during the sale process. From personalised, insightful feedback during the early discussions to rigorous financial analysis towards the end, they were with us the whole time during this challenging, busy period. Always honest and straight talking, we could rely on Clarity to cut through the many complexities of the deal to offer intelligent, sensible advice.”
